CONTRACT

This offer is an invitation from Recycle & Composting Equipment Pty Ltd (hereafter noted as RCE) to (addressee) to purchase the goods specified in our offer. Any order placed as a result of the invitation constitutes an offer to purchase subject to acceptance by RCE. These conditions of sale comprise the terms of the contract unless expressly varied in our offer or by agreement in writing and shall comprise the whole contract. No agent, representative or distributor of RCE has any express or implied authority to bind RCE.

CANCELLATION OF ORDERS

Once an order has been received by RCE, it is non-cancellable by the (addressee), unless an amicable arrangement between RCE and the (addressee) is placed in writing by both parties. Should an amicable arrangement for a cancellation be made, the (addressee) will pay ALL expenses applicable to the cancellation and other costs relayed to and applicable.

PRICES & PAYMENT

A deposit of 25% of the total price of the machine, options and spare parts is to be paid with the official order. The balance of the total price is to be paid at time of the commissioning and handing over to the customer of the machine, options and spare parts.

Unless a formal ‘Forward Foreign Exchange Contract’ has been entered into between RCE and the addressee, RCE reserves the right to vary the price specified in the offer as a result of any variations in the rate of import duty, rate of foreign exchange, freight, shipping, or variation in the purchase price of the goods from the manufacturer between the date of the offer and the date of the invoice. Any such variations shall be payable by (addressee) as part of the purchase price.

SALES TAX & GST

Sales Tax, GST, State, Import Duty, Federal Taxes and/or Fees may not have been included for Australia or New Zealand, in the offer/s and shall be an additional charge to the account of addressee unless a Certificate of Exemption is supplied at the time of Invoice.

POSSESSION AND RISK

Legal ownership in the goods shall not pass to the (addressee) until the full purchase price of the goods has been paid to RCE. If RCE has permitted the (addressee) to take possession of the goods prior to the payment in full of the purchase price, RCE shall be entitled to retake POSSESSION of the goods at any time without notice prior to the payment in full of the purchase price and to enter the premises of the (addressee) (or the premises of any associated company of the addressee where the goods are located) without liability for trespass or any resulting damage. The risk shall pass to the (addressee from the date and point of delivery of the goods.

If the (addressee) fails, refuses or for any reason not attributable to RCE, is unable to take delivery of the goods within fourteen (14) days of the invoice, the cost of the insurance shall be passed on to the (addressee).

Any property of the (addressee) under RCE custody or control shall be at the risk of the (addressee)

WARRANTY

All new equipment sold by RCE shall be covered ONLY by the warranty as extended by the original manufacturer of the machinery and/or parts included. The (addressee) shall accept the warranty of the manufacturer and is the warranty given to the (addressee) In respect of the goods. Service on warranty will be provided subject to availability of parts.

No warranty of any description is given or implied with respect to used equipment.

When in the opinion of RCE the service call is made necessary by the lack of experience of the operator or incorrect setting or carelessness by the operator and using the equipment for purposes or in a way not usual for the equipment the service calls will be charged for at current rates.

Service calls under this warranty will only be provided where local trades persons are available (at the discretion of RCE), or if it is returned to the works at (addressee)'s expense or if travelling and accommodation are met by the (addressee).

WEIGHTS, DIMENSIONS, SPECIFICATIONS AND DELIVERY DATES

All weights, dimensions, specifications and delivery dates are given in good faith but are often beyond the control of RCE. The (addressee) releases RCE from responsibility for any loss, damage or decay occasioned to the (addressee) or its customers arising from late or non-delivery or late installation.

RETURN OF GOODS

RCE shall not be under any obligation to accept goods returned by the (addressee) and will do so only on terms agreed to in writing In each individual case. If any goods are agreed to be acceptable by RCE, a 15% Restocking Fee will apply to the retail value of the goods and the Fee is to be paid prior to or at the same time of the goods being returned to RCE.

LOSS OR DAMAGE IN TRANSIT

RCE has a fully Comprehensive Insurance Policy, covering all freight on goods arranged and nominated by RCE, either by Ocean, Air or Road Transport. The costs of the Insurance are included in our charges quoted and shown on the RCE. invoice and where the costs are charged on to the customer (addressee). If the purchaser (addressee) nominates freight, RCE shall not be responsible for any loss or damage to goods in transit. RCE shall render (addressee) all assistance to press claims on carriers provided the (addressee) has notified RCE and the carriers in writing immediately the loss or damage is discovered.

Any disputes arising out of this transaction shall be determined according to the Laws of the State of Queensland.
